Terms of Service

1. Acceptance of Terms

Welcome to Quilty. These Terms of Service ("Terms") govern your access to and use of Quilty's screenplay analysis platform and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Quilty, a business located in Los Angeles, California, United States.

2. Description of Service

Quilty provides an AI-powered screenplay analysis platform designed for entertainment industry professionals, including screenwriters, producers, studios, and production companies. Our Service includes:

• Screenplay upload and analysis using advanced AI technologies
• Market intelligence and comparable title analysis
• Story structure and character development insights
• Shareable reports and analysis results

The Service is currently in private beta and is available to both individual users (B2C) and business entities (B2B) on an invitation-only basis.

3. Service Tiers and Usage Limits

Quilty offers different service tiers with varying features and usage limits:

• Preview Tier: Limited access to basic features for evaluation purposes
• Monthly Subscription: Regular access with defined usage limits (number of screenplay analyses per month)
• Per-Script Analysis: Pay-as-you-go option for individual screenplay analyses
• Add-On Services: Additional features and services (to be defined)

Specific usage limits, features, and pricing for each tier will be communicated to you upon account creation or upgrade. We reserve the right to modify service tiers and limits with reasonable notice.

4. Account Registration and Security

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information remains accurate and up-to-date

You must be at least 18 years old to create an account and use the Service.

5. Intellectual Property Rights

5.1 Your Content

You retain all ownership rights to the screenplays and materials you upload to the Service. By uploading content, you represent and warrant that:

• You own the content or have the necessary rights and permissions to upload it
• The content does not infringe on any third-party intellectual property rights
• If you do not own the screenplay, the rightful owner has authorized you to upload it for analysis

Important: If you are uploading content on behalf of another party or entity, you confirm that you have obtained all necessary permissions and authorizations from the rights holder.

5.2 Analysis and Reports

The AI-generated analysis, insights, and reports produced by our Service ("Analysis") are provided to you for your use. You may:

• View, download, and export your Analysis results
• Share Analysis reports with collaborators, investors, or other parties
• Use the Analysis to inform your creative and business decisions

You may not resell, redistribute, or use the Analysis to create a competing service.

5.3 Quilty's Intellectual Property

The Service, including its software, algorithms, design, and branding, is owned by Quilty and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our express written permission.

6. Acceptable Use Policy

You agree not to:

• Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Upload content that infringes on third-party intellectual property rights
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use the Service to transmit viruses, malware, or other malicious code
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without permission
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service for any unlawful purpose

7. Disclaimers and Limitations of Liability

7.1 No Guarantees

• The accuracy, completeness, or reliability of any Analysis or market data
• The commercial viability or success potential of any screenplay
• The suitability of any creative or business decisions based on our Analysis
• The performance, availability, or error-free operation of the Service

Our Analysis represents our opinion and is provided for informational purposes only. You should not rely solely on our Analysis when making creative, financial, or business decisions. We recommend consulting with industry professionals, legal advisors, and other experts as appropriate.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUILTY SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your reliance on Analysis or recommendations
• Damages resulting from unauthorized access to your account or content
• Any damages exceeding the amount you paid to Quilty in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

8. Payment Terms (When Applicable)

Note: Payment features are not currently active. When payment processing is enabled, the following terms will apply:

• Subscription fees are billed in advance on a monthly basis
• Per-script analysis fees are charged at the time of submission
• All fees are non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

9. Account Termination

9.1 Termination by You

You may terminate your account at any time by contacting us at support@quilty.app. Upon termination, your access to the Service will cease, and your data will be retained for up to 6 months as described in our Privacy Policy.

9.2 Termination by Quilty

We reserve the right to suspend or terminate your account at our sole discretion if:

• You violate these Terms or our Acceptable Use Policy
• You engage in fraudulent or illegal activity
• Your account has been inactive for an extended period
• We discontinue the Service or specific features
• We determine, in our sole discretion, that termination is necessary

We will provide reasonable notice before termination when possible, but reserve the right to terminate immediately for serious violations.

10. Confidentiality

We understand that the screenplays and materials you upload may be confidential and proprietary. We will:

• Treat your uploaded content as confidential information
• Not share your screenplays with third parties without your consent
• Implement reasonable security measures to protect your content
• Limit access to your content to authorized personnel only

However, we are not responsible for unauthorized access resulting from security breaches beyond our reasonable control. For additional protection, we recommend registering your screenplay with the Writers Guild of America (WGA) or U.S. Copyright Office before uploading.

11. Discovery Network & Optioning Program

11.1 Discovery Leaderboard

Quilty offers an optional Discovery Leaderboard that allows users to showcase their screenplays to the broader entertainment industry. By opting in to the Discovery Leaderboard, you consent to Quilty publicly displaying the following metadata about your screenplay:

• Screenplay title
• Writer name (or a pen name you designate)
• Primary genre
• Quilty Score and related metrics
• Logline
• Budget tier

Your screenplay content (the script itself) is never displayed or shared through the Discovery Leaderboard. You may remove your screenplay from the Discovery Leaderboard at any time, and your metadata will be removed promptly.

11.2 Industry Partner Optioning Program

Quilty partners with approved industry companies ("Industry Partners") who may express interest in optioning high-scoring screenplays. By opting in to the Optioning Program, you additionally consent to the following:

• Your screenplay's public report (if sharing is enabled) may be reviewed by approved Industry Partners
• Industry Partners may contact you through Quilty's platform to express optioning interest
• Your display name and professional contact information may be shared with Industry Partners for the sole purpose of optioning discussions

Quilty acts solely as a facilitator. All negotiations, option agreements, and business terms are exclusively between you and the Industry Partner. Quilty makes no guarantees regarding optioning outcomes and is not a party to any resulting agreements.

11.3 Rights Confirmation

By opting in to the Discovery Leaderboard or Optioning Program, you represent and warrant that:

• You own the screenplay or have the necessary rights and authorization from the rights holder
• You have the authority to consent to the public display of the screenplay metadata
• You have the authority to enter into potential optioning discussions on behalf of the rights holder

11.4 Withdrawal

You may withdraw from the Discovery Leaderboard or Optioning Program at any time. Withdrawal takes effect immediately for the Discovery Leaderboard. For the Optioning Program, withdrawal takes effect immediately for any new outreach, but does not affect any optioning discussions or agreements already in progress at the time of withdrawal.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

12.2 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of these courts and waive any objection to venue.

12.3 Informal Resolution

Before filing any legal claim, you agree to first contact us at legal@quilty.app to attempt to resolve the dispute informally.

13. Indemnification

You agree to indemnify, defend, and hold harmless Quilty and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your uploaded content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property rights.

14. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Effective Date"
• Sending an email notification to your registered email address
• Displaying a prominent notice on the Service

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quilty regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
